Stepwise company registration under JAFZA

  1. You need to choose the license type and legal entity for your future business based on your needs in terms of number of shareholders, business activities, business model, etc. 
  2. In accordance with the free zone regulations, you need to prepare the required documents and submit them together with a filled-out application. Then the fees must be paid. 
  3. You have to sign the lease contract for the premises of the free zone. Then, you need to submit the contract to the authorities of JAFZA. 
  4. You will receive the incorporation documents of your company once your application has been approved. 
  5. Apply for a residence visa once you have undergone a medical check-up.
  1. Wait for your Emirates ID card when your visa is issued. 
  2. In any one of the UAE banks, apply for a corporate bank account. In some cases, this may take up to a month’s time. 
  3. You can start running your business in the UAE once you have received the account details for it.

Licenses and Businesses offered in JAFZA

Based on the type of business setup in the UAE, the category of license can be different. Type 3 license in trading mostly constitutes the general license of trading. AED 500 is needed to add an extra activity to any type of license.  For a variety of business activities, licenses can be obtained at the Jebel Ali Free Zone. The activity list of JAFZA is vast in nature. It has 335 activities offered, which are divided into license categories. For a production plant and warehouse in JAFZA, you would need an industrial license.

Facilities offered by JAFZA Free Zone

The minimum available facility for UAE Freezone Company Setup is a workstation of 5-7 sq. m. The same is available for 2 visas. You should consider an office space right away if you are planning to start your business here.

License renewal of a JAFZA-based company

In order to go forward with company renewal at JAFZA, you need to pay the cost of establishment cards, office facility fees, and license fees. Renewal of the Jebel Ali Free Zone license costs around the same as that of company registration. Without visiting the JAFZA free zone, company renewal can be completed. 

You need to give the audit report at the time of the renewal of the company. Auditing can be done through any accredited auditing company and UAE license. A license can be renewed for 3 years after the company owns any sublease facility or a plot of land. 

JAFZA Company regulations and amendments

Most of the amendments of your company in the JAFZA free zone can be processed without needing a single personal visit to the free zone.  Some amendments include: 

  • Change of manager/director
  • Business activity 
  • Change of name (corporate or personal)

For the transfer of shares, you will need to visit the free zone yourself. Otherwise, this process can be completed by a person holding a notarized power of attorney.

Company Liquidation in JAFZA

Personal presence by the owner of the company is required for the process of liquidation. It can also be done by the holder of power of attorney. Payment of the liquidation fee and returning all original documents is requested by the free zone. 2,000 AED needs to be paid in order to cancel your license. 

The company liquidation process takes around one month. Upon completion of the procedure, you will be provided with a certificate of liquidation by the JAFZA company register.

Residence Visas in JAFZA

JAFZA makes your company eligible for resident visas just like any other in the Dubai Free Zone. You will be entitled to one resident visa per 10 sq. m. of office space that you occupy. The visas are valid for up to 2 years. 

Health insurance is required in this free zone to get a visa. The cheapest package lies between 600 and 800 AED. Annual renewal of health insurance is required.

Do businesses in free zones have to pay VAT?

VAT obligations are dependent upon the location of business activity in addition to the registration location. When the taxable turnover hits AED 375,000, VAT is applied. Can a free zone company have offices outside the free zone?

A free zone company's official office should be situated in the free zone in which it was registered. On the other hand, you can rent space at a business center and use it as needed if you require an office in Dubai.

Why do I need a flex desk or office?

Any business that is eligible for resident visas must have a flex desk. It is the bare minimum of physical office required of a business that employs people under its visa. 

Are there any other taxes that need to be paid?

The country is free from personal income tax. However, there is a 5% import tax on goods brought into the country and a 5% VAT on trading or service transactions in the UAE.
